These Terms and Conditions (the “Agreement”) govern your use of Technology Poa’s software (the “Software”) and any related services provided by Technology Poa (the “Services”). By using the Software or Services, you agree to be bound by this Agreement.
- License
Technology Poa grants you a limited, non-exclusive, non-transferable, revocable license to use the Software and Services for your personal or business use, subject to the terms and conditions of this Agreement.
- Restrictions
You may not copy, modify, distribute, sell, or transfer the Software or Services, or any portion thereof, without the prior written consent of Technology Poa. You may not reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law.
- Ownership
The Software and Services, including all intellectual property rights therein, are and shall remain the exclusive property of Technology Poa and its licensors. Nothing in this Agreement shall be construed to convey any ownership right or interest in the Software or Services to you.
- Disclaimer of Warranties
The Software and Services are provided “as is” and without warranty of any kind, whether express, implied, or statutory, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
In no event shall Technology Poa be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with this Agreement or the use or inability to use the Software or Services, even if Technology Poa has been advised of the possibility of such damages.
- Termination
This Agreement will terminate automatically if you fail to comply with any of the terms and conditions of this Agreement. Upon termination, you must immediately cease all use of the Software and Services and destroy all copies of the Software in your possession.
- Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state of Kenya, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively in the state of Kenya or Nairobi courts located in Kenya.
- Entire Agreement
This Agreement constitutes the entire agreement between you and Technology Poa with respect to the Software and Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Technology Poa.
- Modifications
Technology Poa reserves the right to modify this Agreement at any time and without prior notice. Your continued use of the Software or Services following any such modification constitutes your acceptance of the revised terms and conditions.
- Privacy Policy
Technology Poa’s Privacy Policy, available on its website, is incorporated into this Agreement by reference. By using the Software or Services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
- Third-Party Services
The Software or Services may include links to third-party websites or services. Technology Poa is not responsible for the content or availability of such websites or services and does not endorse or warrant any products, services, or information offered by such websites or services.
- Assignment
You may not assign or transfer this Agreement or any of your rights or obligations hereunder without the prior written consent of Technology Poa. Any attempted assignment or transfer in violation of this provision shall be null and void.
- Waiver
No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach. The failure of Technology Poa to enforce any provision of this Agreement shall not be construed as a waiver of such provision or of the right to enforce such provision.
- Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By accepting these Terms and Conditions, you agree to be bound by all of the provisions contained herein. If you do not agree to these Terms and Conditions, do not use the Software or Services.
